Terms of Service

1. Acceptance of Terms
By accessing and using the services of E2 GROUP SP. Z O.O. ("E2 Group", "we", "us", or "our"), you accept and agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
2. Description of Services
E2 Group provides custom software development services, including but not limited to:
- Business Intelligence Systems
- Corporate and Enterprise Portals
- Dealers Portals
- Remote Client Service Platforms
- Electronic Reporting Systems
- IT Consulting and Advisory Services
- Custom Software Development
Specific service details, deliverables, timelines, and pricing will be outlined in separate service agreements or statements of work for each project.
3. Service Estimates
Estimates provided through our website or during initial consultations are non-binding and for informational purposes only. Final pricing and timelines will be determined after detailed requirements analysis and will be specified in a formal service agreement.
Estimates are typically valid for 30 days from the date of issuance and may be subject to change based on:
- Changes in project scope or requirements
- Additional features or functionality requested
- Changes in third-party service costs
- Unforeseen technical complexities
4. Client Responsibilities
As a client, you agree to:
- Provide accurate and complete information about your requirements
- Respond to requests for information in a timely manner
- Provide necessary access to systems, data, and personnel as required for the project
- Review and provide feedback on deliverables within agreed timeframes
- Ensure you have the legal right to share any materials or data provided to E2 Group
- Make payments according to the agreed terms in the service agreement
5. Intellectual Property Rights
Unless otherwise specified in a written agreement:
- Pre-existing IP: Each party retains ownership of their pre-existing intellectual property, tools, frameworks, and methodologies.
- Custom Development: Upon full payment, clients typically receive ownership or exclusive license to custom-developed software as specified in the service agreement.
- Reusable Components: E2 Group retains the right to use general knowledge, skills, and non-proprietary components developed during the project for other clients.
6. Confidentiality
Both parties agree to maintain confidentiality of proprietary information shared during the course of the engagement. E2 Group will:
- Not disclose client confidential information to third parties without consent
- Use confidential information only for the purpose of providing services
- Implement reasonable security measures to protect confidential information
- Return or destroy confidential information upon project completion if requested
Confidentiality obligations do not apply to information that:
- Is or becomes publicly available through no breach of this agreement
- Was known to the receiving party prior to disclosure
- Is independently developed without use of confidential information
- Is required to be disclosed by law or court order
7. Warranties and Disclaimers
E2 Group warrants that:
- Services will be performed in a professional and workmanlike manner
- Deliverables will conform to agreed specifications
- We have the right to enter into this agreement and provide the services
Except as expressly stated, E2 Group makes no warranties, express or implied, including but not limited to:
- Implied warranties of merchantability or fitness for a particular purpose
- Warranties that services will be uninterrupted or error-free
- Warranties regarding the accuracy of estimates or projections
8. Limitation of Liability
To the maximum extent permitted by applicable law:
- E2 Group's total liability for any claims arising out of or related to services shall not exceed the total fees paid by the client for the specific services giving rise to the claim.
- E2 Group shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
- These limitations apply even if E2 Group has been advised of the possibility of such damages.
9. Payment Terms
Payment terms will be specified in each service agreement. General terms include:
- Invoices are typically due within 14 days of receipt unless otherwise agreed
- Late payments may incur interest charges at 1.5% per month or the maximum rate permitted by law
- E2 Group reserves the right to suspend services for overdue payments exceeding 30 days
- All fees are in EUR or PLN unless otherwise specified
- VAT or other applicable taxes will be added where required
10. Term and Termination
Service agreements remain in effect until:
- Completion of all deliverables and obligations
- Mutual written agreement to terminate
- Termination by either party as specified in the service agreement
Upon termination:
- Client remains responsible for payment for services rendered up to termination date
- E2 Group will deliver completed work and transition materials as agreed
- Both parties will return or destroy confidential information as requested
11. Force Majeure
E2 Group shall not be liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including but not limited to:
- Natural disasters, pandemics, or acts of God
- War, terrorism, civil unrest, or government actions
- Internet outages, infrastructure failures, or utility disruptions
- Strikes, labor disputes, or workforce shortages
12. Governing Law and Dispute Resolution
These Terms of Service shall be governed by and construed in accordance with the laws of the Republic of Poland.
Any disputes arising from or related to these terms or our services shall first be attempted to be resolved through good faith negotiations. If resolution cannot be reached, disputes shall be submitted to the competent courts in Warsaw, Poland.
13. Changes to Terms
E2 Group reserves the right to modify these Terms of Service at any time. Changes will be effective upon posting to our website. Continued use of our services after changes constitutes acceptance of the modified terms.
For ongoing projects, changes to terms will not apply to existing service agreements without mutual written consent.

15. Severability
If any provision of these Terms of Service is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent.
